Terms of Service

These terms are an agreement between you and Talzo ("Talzo", "we", "us"). Talzo is operated by Abraham Richards, Ohio, USA. They cover the website at talzo.app, the waitlist, and the Talzo app for Shopify (together, the "Service"). By joining the waitlist, installing the app, or using the Service, you agree to these terms. If you don't agree, please don't use the Service.
Talzo is in pre-launch and is not yet on the Shopify App Store. Joining the waitlist is free and doesn't create a subscription. The sections about the app apply once you install it.
1. What Talzo does
Talzo helps Shopify sellers run referral and affiliate programs. It tracks referral clicks and sales, calculates commissions using the rules you set, flags possible fraud for review, keeps track of partners' tax-form status, and writes payout files you can use with your own payment tools.
2. Eligibility
You must be at least 18 and able to enter a binding contract. The app is for businesses. If you use Talzo for a business, you confirm you can accept these terms for it. To install the app, you need a Shopify store in good standing.
3. Your account and Shopify install
- Merchants install Talzo through Shopify and approve the access Talzo asks for during install.
- You're responsible for your account, for keeping access secure, and for what happens under it.
- Partners who join a merchant's program use Talzo under that merchant's program terms and these terms.
- Give us accurate information and keep it up to date.
4. Fees and billing
- Talzo has one plan: Pro at $50 per month, billed through Shopify billing. Shopify charges you on your Shopify invoice. Applicable taxes may be added.
- You can cancel anytime through Shopify by uninstalling the app or canceling the subscription. Charges stop under Shopify's billing rules.
- Refunds and billing adjustments follow Shopify's billing rules. We don't promise refunds beyond them.
- If we ever change the price, we'll tell you in advance, and the change will go through Shopify billing.
5. Talzo doesn't hold or move money
Talzo never holds, receives, or sends money for you or your partners. It calculates commissions and writes payout files. You are responsible for:
- reviewing the numbers and paying your partners from your own accounts;
- your program's terms with your partners;
- tax compliance, including collecting tax forms and filing any required forms (such as 1099s).
Talzo's tax-form tracking and threshold flags are tools to help you stay organized. They aren't tax, legal, or financial advice. Check with your accountant.
6. Acceptable use
You agree not to:
- use Talzo for fraud, including fake clicks, fake orders, self-referrals, or misleading partners about what they'll earn;
- send spam or unsolicited messages through or about your program;
- break any law, or Shopify's terms and policies;
- upload malware, or try to break, overload, or get around the Service's security;
- access other stores' data, or copy, resell, or reverse-engineer the Service except where the law allows.
We may suspend accounts that break these rules.
7. Data
You own your store's data. You give Talzo permission to use it only to provide the Service to you. Our Privacy Policy explains what we collect, how long we keep it, and how we handle Shopify privacy requests. You're responsible for having the right to share your partners' and customers' data with Talzo and for giving them any privacy notices the law requires.
Merchant data processing commitment
When Talzo processes personal data from your store (such as order data, partner details, and referral clicks), it does so on your behalf. Talzo will:
- process store data only to provide the Service to you, and not for any other purpose;
- not sell store data or use it for advertising;
- follow Shopify's data protection requirements for apps, including the requirements for protected customer data;
- respond to Shopify's customer data, customer deletion, and shop deletion requests;
- keep data secure, limit access to what's needed, and use service providers (such as hosting) only to run the Service;
- delete store data within 30 days after you uninstall the app or after a Shopify shop deletion request;
- tell you without undue delay if we learn of a security breach that affects your store's data.
8. Intellectual property
Talzo owns the Service, including its software, design, and brand. We give you a limited, non-exclusive, non-transferable right to use the Service while your subscription is active and you follow these terms. If you send us feedback, we may use it without owing you anything.
9. Disclaimers
The Service is provided "as is" and "as available". To the extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We don't promise the Service will be uninterrupted or error-free, or that every click, sale, or fraud signal will be captured. Please review commissions before you pay.
10. No income guarantee
Talzo doesn't guarantee any sales, revenue, partner sign-ups, or earnings for merchants or partners. Results depend on your products, partners, and many things outside our control.
11. Limitation of liability
To the extent the law allows, Talzo won't be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data. Talzo's total liability for any claim relating to the Service is limited to the fees you paid for Talzo in the 12 months before the claim. Some places don't allow these limits, so they may not fully apply to you.
12. Termination
You can stop using Talzo anytime by uninstalling the app. We may suspend or end your access if you break these terms, if the law requires it, or if we stop offering the Service. If we stop offering the Service, we'll give reasonable notice where we can. After the app is uninstalled, your data is deleted as described in our Privacy Policy. Sections that by their nature should survive (such as fees owed, disclaimers, limitation of liability, and governing law) survive termination.
13. Governing law
These terms are governed by the laws of the State of Ohio, USA, without regard to its conflict-of-law rules. Any dispute will be handled in the state or federal courts located in Ohio, unless the law where you live gives you the right to bring a claim elsewhere.
14. Changes to these terms
We may update these terms. If we make a meaningful change, we'll update this page and the date at the top, and we'll tell merchants before the change takes effect. If you keep using Talzo after a change takes effect, you accept the new terms.
